Acceptance of terms and status of purchaser

These Terms and Conditions ("Terms") govern all sales of products ("Products") by BioHax Labz ("Company," "we," "us," or "our") to you ("Purchaser" or "you") through our website. By placing an order, you agree to be bound by these Terms.

Age and Professional Requirement: By purchasing Products from BioHax Labz, you certify that you are 21 years of age or older and are a qualified, licensed research professional or institution authorized to operate a research facility.

Contracting Party: You agree that you are purchasing the Products for use in a laboratory or controlled research setting only and not for personal consumption.

Final Agreement: These Terms constitute the entire agreement between you and BioHax Labz regarding the sale of Products.

Product use, safety, and warning

Strictly Research Use Only: All Products sold by BioHax Labz are supplied STRICTLY FOR LABORATORY RESEARCH USE ONLY. They are not intended for human or animal consumption, diagnostic, therapeutic, or pharmaceutical purposes, and are NOT approved by the FDA for any such use.

Hazard Acknowledgment: You acknowledge that the Products may be inherently hazardous and that you are responsible for understanding the hazards associated with each Product. You assume all responsibility for personnel, equipment, and resources used in handling these materials.

No Advice: BioHax Labz does not provide any instructions or advice regarding the administration, dosing, or use of these Products.

Limitation of liability and indemnification

Disclaimer of Warranties: BioHax Labz makes NO WARRANTIES of any kind, express or implied, including the implied warranties of merchantability or fitness for a particular purpose.

Limitation on Damages: In no event shall BioHax Labz, its owners, directors, officers, agents, or employees be liable for any special, indirect, incidental, consequential, punitive, or exemplary damages, including damages for lost profits or business interruption, arising from the purchase or use of the Products.

Maximum Liability Cap: Regardless of the cause of action, the maximum aggregate liability of BioHax Labz to the Purchaser for any claim shall be strictly limited to the amount actually paid by the Purchaser for the specific Product giving rise to the claim.

Indemnification: You agree to indemnify, defend, and hold harmless BioHax Labz and its affiliates from and against any and all claims, demands, liabilities, losses, costs, and expenses (including legal fees) that arise from or relate to:

  • Your improper, unauthorized, or non-research use, handling, storage, or disposal of the Products.
  • Your breach of any term in these Terms and Conditions.

Ordering, payment, and shipping

Order Acceptance: All orders are subject to acceptance by BioHax Labz. We reserve the right to refuse or cancel any order for any reason.

Pricing: Prices are subject to change without notice. All prices are listed in U.S. Dollars unless otherwise specified.

Shipping and Risk of Loss: All Products are shipped F.O.B. (Free On Board) Origin. Title to and risk of loss for the Products pass to you upon our delivery to the carrier. We are not responsible for delays, loss, or damage that occurs during shipment.

Shipping and Handling:

  • Order Processing and Confirmation: All orders are processed in the order they are received. Processing times may vary but typically take 1-3 business days. You will receive an email confirmation with tracking information once your order has been shipped.
  • Risk of Loss (F.O.B. Origin): All products are shipped F.O.B. Origin. This means that title to and risk of loss for the Products transfer to the Purchaser upon our delivery of the package to the shipping carrier (USPS, FedEx, UPS, etc.). BioHax Labz is not responsible for packages that are lost, damaged, or delayed once they are in the carrier's possession. We recommend purchasing insurance if available.
  • Address Accuracy: Please ensure your shipping address is accurate and complete at the time of purchase. Orders shipped to an incorrect address provided by the Purchaser will not be refunded or reshipped.

Governing law and legal notice

Governing Law: These Terms and Conditions and any transactions thereunder shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of that State.

Legal Notice Reinforcement: By purchasing from BioHax Labz, you reaffirm your acceptance of our complete Terms and Conditions, including the Limitation of Liability. Our products are for Research Use Only and no exceptions will be made.
